Terms of Service
Last updated: October 15, 2026
Welcome to Billr. These Terms of Service ("Terms") govern your access to and use of Billr's website, products, and services (collectively, the "Service"). Please read these Terms carefully before using the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
These Terms are an agreement between you and Voyage Studios LLC, doing business as Billr ("Billr," "we," "us," or "our"). By creating an account or using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Billr is an online invoicing application that allows users to create, send, and manage invoices; track time and expenses; manage client information; connect AI agents over the Model Context Protocol; and optionally connect their own third-party payment processor to accept online payments.
2.1 The Hosted Service
These Terms govern the hosted service that Billr operates at billr.cc and its related subdomains. The hosted service is a paid subscription described in Section 4, and it is provided "as is" and "as available" subject to Sections 11 and 12.
2.2 The Self-Hosted Edition
Billr also publishes the same application as open-source software under the Apache License, Version 2.0. Your rights to use, copy, modify, and distribute that software are granted by the Apache-2.0 license alone, and nothing in these Terms adds to or limits them. These Terms cover only the hosted service. If you run your own installation, you are the operator of it: you choose your own infrastructure, database, payment processor, and email provider, you are responsible for its security, availability, backups, and legal compliance, and Billr has no access to it and no obligations in respect of it.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
Creating an account requires agreeing to these Terms and acknowledging the Privacy Policy, whether you sign up with an email address or through a third-party sign-in provider such as GitHub. We record which version of each document you agreed to and when.
4. Fees and Payment
4.1 Subscription Fees
The hosted service is sold as a subscription at USD $19.00 per month. A subscription covers one workspace with unlimited clients, documents, and invited teammates. If you create an additional workspace, it is billed as a separate subscription. Fees are stated exclusive of tax and are charged in advance for each monthly period.
4.2 Free Trial
Each account gets one free trial. It starts when you sign up and ends 14 days (336 hours) later. It covers every workspace you create during that time; creating another workspace does not start or extend a trial. No payment method is needed to start it. Each workspace you want to keep using after the trial needs its own subscription: add a payment method for that workspace, and its subscription begins at the end of the trial, or straight away if the trial has already ended, and is charged each month. A workspace created after your trial has ended is free to create but needs its own subscription before you can create or change records in it. We may decline to offer a trial to an account that has had one before. If no payment method has been added for a workspace when the trial ends, its invoices and clients stay readable and exportable, but you cannot create or change records in it until you start its plan.
4.3 Billing, Renewal, and Taxes
Subscription billing is handled on our behalf by Stripe, Inc. You authorize us, through Stripe, to charge your payment method for the subscription fees and any applicable taxes each period until the subscription is cancelled. Your card details are collected by Stripe when you add a payment method, and are stored by Stripe and never by Billr. Subscriptions renew automatically each month until cancelled. Prices are shown exclusive of tax; any VAT, GST, or sales tax we are required to collect is calculated at checkout and added to the amount charged, and the total is shown to you before you confirm.
4.4 Failed Payments
If a payment fails, we and Stripe may retry it and we will notify you by email. If the subscription for a business remains unpaid, we may suspend that business after a grace period of at least 14 days from the first failed charge. During suspension you keep the ability to read and export your data as described in Section 14.3, and creating or sending new documents, and agent access to that business, may be turned off. Paying the outstanding amount restores the business.
4.5 Changes to Pricing
We may change the price of the hosted service. We will give you at least 30 days notice by email before a price change takes effect. If you already subscribe, you keep your existing price until the first renewal that falls after the end of that notice period. If you do not want to pay the new price, cancel before it applies.
4.6 Accounts Created Before Paid Plans
Accounts created before the hosted service became a paid subscription may continue to use it without charge until the date stated in the notice we send you. That notice will be sent by email at least 30 days before the date it names, and after that date Sections 4.1 through 4.5 apply to those accounts in the same way as to any other.
4.7 Cancellation
You may cancel a subscription at any time from your workspace. Cancellation stops the next renewal; access continues to the end of the period you have already paid for, and the business is then suspended under Section 14.3.
4.8 Payments You Collect From Your Clients
The subscription fee is the only amount Billr charges you. We do not process the payments your clients make to you, and we charge no transaction fee, platform fee, per-invoice fee, or percentage of what you collect. If you choose to accept online payments, you connect your own third-party payment processor. That processor handles the payment directly, and you are solely responsible for any fees it charges and for compliance with its terms of service. Billr is not a party to those transactions and is not responsible for your payment processor's services or fees.
5. Payment Disputes and Chargebacks
Billr does not process payments and never holds your funds. If you accept online payments, you do so through your own third-party payment processor, and all disputes, chargebacks, refunds, and fraud handling are governed by that processor and are strictly between you, your client, and that processor.
5.1 Your Responsibility
You are solely responsible for the invoices you create and the payments you collect. You acknowledge and agree that:
- You will only invoice clients for legitimate goods or services that you have provided or will provide
- All invoice information will be accurate and complete
- You are fully responsible for all chargebacks, disputes, refunds, and any related fees charged by your payment processor
- You will respond promptly to any client disputes or inquiries
5.2 Billr Is Not a Party to Your Transactions
Because Billr does not touch your money, we do not hold reserves, do not adjudicate disputes, and impose no payment or dispute fees of our own. We may suspend or terminate accounts we reasonably believe are being used for fraud or other violations of these Terms, but we are not involved in resolving disputes between you and your clients or your payment processor.
6. Refund Policy
6.1 Subscription Fees You Pay Us
Subscription fees are charged in advance and are not refundable in whole or in part, including for partial months and for periods in which you did not use the hosted service, except where a refund is required by applicable law or where we choose to give one. When you cancel, you keep access for the rest of the period you have paid for rather than receiving a refund of it. Nothing here limits any statutory cancellation or withdrawal right you have as a consumer. If you believe you were charged in error, contact us at help@billr.cc within 60 days of the charge.
6.2 Refunds You Give Your Clients
Refunds of the payments your clients make to you are at your sole discretion as the service provider and are handled through your own payment processor. You are responsible for:
- Establishing and communicating your refund policy to clients
- Processing refunds in a timely manner
- Bearing all costs associated with refunds, including processor fees which may not be refundable
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Send fraudulent invoices or engage in deceptive practices
- Process payments for illegal goods or services
- Engage in money laundering or terrorist financing
- Circumvent any security measures or access controls
- Interfere with or disrupt the Service
- Use the Service for any purpose that is not expressly authorized
8. Prohibited Businesses
The following types of businesses are prohibited from using the Service for payment processing:
- Adult content or services
- Gambling or gaming (unless properly licensed)
- Illegal drugs or drug paraphernalia
- Weapons or ammunition
- Counterfeit goods
- Multi-level marketing or pyramid schemes
- Virtual currency or cryptocurrency exchanges
- Any business prohibited by your payment processor's terms of service
9. Intellectual Property
9.1 Our Property
The Service, including all content, features, and functionality, is owned by Billr and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9.2 Your Content
You retain ownership of all content you create using the Service, including invoices, client data, and business information. By using the Service, you grant us a limited license to use, store, and process your content solely to provide the Service to you.
10. Confidentiality
We will treat your business information, client data, and invoice details as confidential. We will not disclose this information to third parties except as necessary to provide the Service, as required by law, or as described in our Privacy Policy.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Paying a subscription fee does not change the nature of these disclaimers, except that nothing in this section limits any warranty or guarantee that applicable law does not allow us to exclude. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
12. Limitation of Liability
Billr is a tool you use at your own risk to run your own billing. The limits below apply to the hosted service. The self-hosted edition is licensed under Apache-2.0, whose own warranty and liability terms govern it.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLR AND ITS OWNERS, OPERATORS, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REVENUE, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US FOR THE HOSTED SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY U.S. DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU, AND NOTHING HERE LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
You are solely responsible for the accuracy of your invoices, your tax and legal compliance, and your relationships with your clients. Billr is a tool, not an accountant, lawyer, or financial or payment-services provider, and nothing in the Service constitutes financial, tax, or legal advice.
13. Indemnification
You agree to indemnify, defend, and hold harmless Billr, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any chargebacks, disputes, or claims related to your invoices or payments
- Any claims by your clients or third parties
14. Account Suspension and Termination
14.1 By You
You may cancel a subscription or close your account at any time from your account settings, or by contacting us. Cancelling a subscription is covered by Section 4.7. Upon termination, you remain responsible for any fees already incurred and for any chargebacks raised against you.
14.2 By Us
We may suspend or terminate your account at any time, with or without cause, including but not limited to:
- Violation of these Terms
- Excessive chargebacks or disputes
- Fraudulent or suspicious activity
- Non-payment of fees
- Extended periods of inactivity
14.3 Effect of Termination
When a subscription ends or an account is suspended for non-payment or closed, your right to use the hosted service to create or send new documents ends. For at least 30 days after that date we will keep your data available to you for read access and export, so that you can take your invoices, clients, and records with you. After that export window we may delete your data, except where we are required or permitted to retain it by law or for a legitimate business purpose such as tax records, fraud prevention, or resolving a dispute. If we terminate your account for a violation of Section 7 or Section 8, we may shorten or decline to provide the export window. You remain liable for any obligations incurred before termination.
15. Data Export
You may export your data at any time through the Service. Upon account termination, you will have 30 days to export your data before it may be deleted.
16. Modifications to Terms
We may modify these Terms. We will give notice of material changes by email or through the Service at least 30 days before they take effect, and we will update the version date at the top of this page. Changes to the price of the hosted service are governed by Section 4.5. We may make non-material changes, such as corrections and clarifications, with notice through the Service alone.
When a change is material, we ask you to accept the new version the next time you sign in, and we record which version you agreed to and when. If you do not accept the new version, you may cancel under Section 4.7 before it takes effect; continuing to use the Service after the effective date means you accept it.
17. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property violations.
18. Class Action Waiver
YOU AND BILLR AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Billr regarding the Service.
